1. Acceptance
By engaging Webs.ie, using our website, signing a proposal or paying an invoice, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service.
2. The Studio
Webs.ie is an independent AI-native web design atelier based in Dublin, Ireland. We design, build and operate bespoke websites, landing pages, stores and AI assistants for businesses.
3. Our Services
- Smart Websites and AI Lead Pages.
- Custom AI Chat Concierges and agents.
- E-commerce builds and integrations.
- Ongoing optimisation, hosting and care plans.
- The Webs.ie Monthly Website Grant initiative.
4. Quotations and Agreements
Each engagement is governed by a written proposal or statement of work that defines scope, deliverables, timeline and fees. These Terms apply in addition to any signed proposal. In the event of conflict, the signed proposal prevails.
5. Client Responsibilities
- Provide accurate information and required assets in a timely manner.
- Assign a single point of contact with authority to approve work.
- Review drafts and provide consolidated feedback within agreed timelines.
- Hold rights or licences for any content you provide to us.
6. Fees and Payment
- All fees are quoted in euros (EUR) and exclusive of VAT unless stated otherwise.
- Fixed-fee projects are invoiced as milestones: typically 50% on commission, 50% on launch.
- Recurring care plans are billed monthly in advance.
- Invoices are due within 14 days unless otherwise agreed.
- Late payment may incur statutory interest under the EU Late Payment Directive.
7. Changes and Revisions
Each fixed-fee engagement includes a defined number of feedback rounds. Additional rounds, scope changes or new requests are treated as change orders and billed at our standard rate.
8. Ownership and Licensing
- On full payment, you own the final, launched website and all bespoke content we deliver for it.
- We retain ownership of our underlying frameworks, libraries, internal tooling and unused concepts.
- Third-party assets (fonts, stock imagery, plug-ins) remain subject to their own licences.
- You grant us the right to display the finished work in our portfolio and case studies unless you request otherwise in writing.
9. Refunds and Cancellation
See our Refund Policy for the full position. In short: work completed is payable; work not yet started may be cancelled with written notice.
10. Performance Guarantee
Smart Website engagements include a 30-day performance guarantee: if the delivered site does not meet the measurable goals defined in the proposal within 30 days of launch, we will iterate at no additional cost until it does, subject to the client's timely input and approvals.
11. Warranties and Disclaimers
We provide services with reasonable care and skill. To the fullest extent permitted by law, we disclaim all other warranties, express or implied. The website, once launched, is delivered "as is" and subject to the care plan, if any, you have elected.
12. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the services will not exceed the fees paid by you under the relevant engagement in the 12 months preceding the claim. We are not liable for indirect or consequential loss, including lost revenue, profits or data.
13. Confidentiality
Both parties agree to keep non-public information shared during the engagement confidential and to use it only for the purpose of delivering the services.
14. Force Majeure
Neither party is liable for failure to perform due to events outside its reasonable control, including acts of God, war, strikes, pandemics, internet outages or third-party service failures.
15. Governing Law
These Terms are governed by the laws of the Republic of Ireland. The courts of Ireland have exclusive jurisdiction.
